GREEN LIGHT EXHIBITION TERMS & CONDITIONS 2019
Organiser: VOW Wholesale (Trading as VOW Europe Ltd)
1.Definitions
Booking Form means online registration completed by the Exhibitor at the following website: www.greenlightevent.com , expressing their intention to book an available exhibit space at the Event;
Closing Time means the time duration specified by the Organiser during which the Exhibitor shall be permitted to dismantle their exhibit displays and pack away all equipment within the Display Space;
Display Space means area within the Venue reserved for the Exhibitor to showcase their business;
Exhibitor means any person, company or organisation and/or their employee, or subcontractor who has booked a display space;
Event means The Green Light event;
Venue means The Chateaux Impney Hotel and Exhibition Centre;
1 . CONTRACT
1.1 The online registration must be completed by the Exhibitor and sent to the Organiser in order to request an exhibit space at the Event (“Booking Form”). Any Booking Forms submitted by agents or third parties of the perspective Exhibitor shall not be accepted.
1.2 Completion of the Booking Form shall be taken by the Organiser as being the Exhibitors acceptance to being bound by the booking terms and conditions of this Agreement including the cancellation policy.
1.3 The Organiser shall have complete discretion whether to accept any Booking Form submitted.
1.4 Should the organisers agree to hold a provisional space booking, the organisers reserve the right to sell that space to another exhibitor should the first enquirer be unable to confirm their booking on request.
1.5 By submitting the Booking Form, the Exhibitor accepts without reservation the following:
1.5.1 the terms of the exhibition space booking;
1.5.2 all regulations contained in these terms and conditions, the Exhibitors’ manual and any reasonable instructions subsequently issued by the organisers;
1.5.3 all regulations laid down by the local authority applicable to the Event;
1.5.4 all regulations laid down by the Venue including but not limited to security, health and safety, fire and traffic;
1.5.5 all current Health & Safety regulations.
2 . EXHIBITION FLOORPLAN
2.1 The organisers reserve the right to alter the layout of the exhibition at any time and in any respect1.
2.2 Display Space will be allocated to exhibitors by the organisers. Requests for location will be taken into account where possible but cannot be guaranteed. The Organiser shall have complete discretion to allocate Display Spaces and their decision will be final.
2.3 Exhibition displays must stay within the allocated Display Space at all times.
3 . Health & safety
3.1 It is the responsibility of the Exhibitor to ensure that their staff and/agent or any supplier/contractor working on their behalf, are familiar with and abide by all current UK and European health and safety regulations.
3.2 The Exhibitor is responsible for the health and safety of their stand during installation, use and dismantling.
3.3 In order to create and maintain a safe environment at all times, all Exhibitors and contractors must abide by reasonable instructions from the Organisers and/or the Venue staff.
4 . SECURITY/INSURANCE
4.1 Each Exhibitor is responsible for the security and insurance of their own display and its contents.
5 . BREAKDOWN
5.1 Exhibitors shall not be permitted to remove or dismantle their Exhibit displays and or remove any item from their Display Space before Closing Time.
5.2 The Exhibitor shall be required to leave their Display Space in the same condition as they found it.
5.3 Any Exhibitor failing to vacate the Venue and clear their Display Space by the end of Closing Time shall be held liable to pay any penalties that may be imposed by the Venue on the Organiser and/or the Exhibitor
6 . STAFF IDENTIFICATION
6.1 All Exhibitor’s staff must wear identification badges issued by the Organiser at all times. Additional staff will be permitted upon payment of the relevant registration fees.
7 . STAND FITTINGS
7.1 All materials and stand fittings must be non-flammable or impregnated with fire-proofing solution in a way as to comply with all current safety requirements.
8 . DAMAGE
8.1 Exhibitors shall not cause any damage to the Venue or their Display Space and shall make good any such damage at their own expense.
8.2 The Organiser shall not accept or be held liable for any loss, damage or theft of the Exhibitor’s display, property or any other similar item, save where such loss or damage is caused by the Organiser.
9 . PAYMENT TERMS
9.1 Payment is due on receipt of invoice within agreed terms set out by VOW Wholesale (trading as VOW Europe Ltd)
9.2 Payment for Green Light must be incremental from already agreed marketing funds
10 . CANCELLATION BY THE EXHIBITOR
10.1 All cancellations must be submitted in writing to info@greenlightevent.com. No cancellations will be accepted after 1st November 2019.
10.2 In the event that an exhibitor wishes to cancel their space booking, or fails to meet any of the payment obligations the organiser reserves the right to apply the following cancellation:
10.2.1 Cancellation received on or before 4th October 2019: 50% of total stand cost; or
10.2.2 Cancellation received after 1st November 2019: 100% of total stand cost
10.3 Should monies not, at the time of cancellation, already have been paid to VOW Europe the cancellation fee will still apply.
10.4 The provisions of this clause shall survive termination of the Agreement.
11 . BANKRUPTCY OR LIQUIDATION
11.1 In the event of the Exhibitor becoming bankrupt or insolvent or entering into liquidation or having a receiver, administrator, sequestrator or trustee appointed over any of its assets, the organisers shall be at liberty to terminate forthwith this Agreement.
12 FORCE MAJEURE
12.1 If the event is abandoned, cancelled or suspended in whole or in part by reason of war, fire, national emergency, labour dispute, strike, lock-out, civil disturbance, inevitable accident, the non-availability of the Venue or any other cause not within the control of the Organiser, the Organiser may at their entire discretion, refund monies paid by the Exhibitor in booking their Exhibit Space, or part refund the monies thereof, but shall be under any obligation to do so. The organisers shall be under no liability to the Exhibitor in respect of any actions, claims, losses (including consequential losses), costs or expenses whatsoever which may be brought against or suffered or incurred by the Exhibitor, as a result of the occurrence of aforementioned event.
12.2 The Exhibitor is encouraged to take out appropriate insurance against the aforementioned circumstances.
13 . GENERAL
13.1 Each exhibitor shall be deemed to have full knowledge of the Terms and Conditions and is bound by them in all respects.
14 SEVERANCE
14.1.1 If any court or competent authority finds that any provision of this Agreement (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of this Agreement shall not be affected.
14.1.2 If any invalid, unenforceable or illegal provision of this Agreement would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
15 . GOVERNING LAW AND JURISDICTION
15.1.1 This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formulation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the law of England and Wales.
15.1.2 The Parties to this Agreement irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).
